About the position

The Corporate M&A team is responsible for overseeing group-wide global M&A activities for Liberty Mutual. The Senior Director of M&A is a hybrid role based in Boston and reports directly to the Senior Vice President, Group Head of M&A. As a senior member of Liberty Mutual's Mergers & Acquisitions team, this individual will be responsible for successfully sourcing and executing Liberty's inorganic growth initiatives regarding mergers, acquisitions, and divestitures. The role involves extensive collaboration with internal business units, corporate functions (Legal, Tax, Accounting, HR), and external advisors (Financial, Legal, and Accounting/Tax advisors). The Senior Director, M&A will proactively participate in discussions with senior leaders across the organization to source, assess, and identify opportunities, while aligning with group-wide strategic inorganic goals and focus areas. We seek an individual with prior experience working effectively in a high-urgency, high-performance, and high-visibility culture, capable of multitasking across several projects simultaneously. This role is highly cross-functional, requiring strong communication, relationship-building, and presentation skills. Candidates must possess a robust technical finance/insurance and valuation skill set and have prior experience successfully negotiating and structuring transactions to execution. The ability to influence and drive results without direct authority is critical for success.

Responsibilities

  • Drive and manage all day-to-day aspects of assigned M&A projects from initial kick-off to execution of definitive agreements and closing of transactions, potentially including multiple projects simultaneously.
  • Collaborate across the organization to understand and develop/identify inorganic growth opportunities across geographies, products, and distribution channels.
  • Develop, nurture, and utilize relationships with external parties to source strategic opportunities aligned with Liberty's group focus areas.
  • Effectively communicate the strategic rationale of opportunities to executive-level leadership.
  • Support and enhance relationships with banking, accounting, and actuarial advisors.
  • Manage, coach, and further develop the direct report, fostering professional growth and excellence.
  • Oversee and lead complex financial and valuation analysis relating to M&A projects, providing thought leadership across economic scenarios/analysis in a clear and concise manner to executive leaders.
  • Coordinate internal and external resources to conduct detailed diligence across functional areas, ensuring all findings are appropriately considered and reflected in project analysis.
  • Engage legal, tax, and accounting teams to proactively consider transaction structuring scenarios.
  • Lead or assist in negotiations of live transactions across various workstreams, communicating qualitative and quantitative risk/reward trade-offs.
  • Own various ad-hoc corporate finance projects, including cost of equity analysis, goodwill model valuation testing, and market/industry research.

Requirements

  • 7+ years (preferably within the insurance sector) of corporate development, M&A, and/or investment banking experience, with experience executing transactions across the lifecycle.
  • Corporate finance subject matter expert with significant experience in economic, financial, and valuation modeling.
  • Bachelor's degree in a financial/economics-related discipline; CFA designation highly preferred.
  • Developed negotiation, facilitation, and influencing skills-comfortable making decisions when not all data points are available.
  • Strong project management and collaboration capabilities, with the ability to gain buy-in and influence across functions.
  • Highly motivated individual capable of working independently with flexibility to meet transaction-driven deadlines, including working outside of regular business hours (e.g., weekends, nights).
  • Exceptional verbal, written, and communication skills; ability to interact with various levels within the organization (including executive) and external partners, such as investment bankers, accounting/tax/finance advisors, and legal counsel.
  • Strong proficiency with Microsoft Excel, PowerPoint, Bloomberg, and S&P Capital IQ.
  • Travel required up to 25%, which may include both US and international.
