About The Position

Description: The Associate General Counsel for Intellectual Property and Licensing will provide licensing advice to all Lockheed Martin Corporation Business Areas and will have responsibility for providing Intellectual Property legal support to one or more lines of business within the Lockheed Martin Aeronautics (Aero) Business Area. The successful candidate will create and provide guidance for all business areas on a comprehensive, OneLM approach to licensing Lockheed Martin IP to third parties for commercial purposes, and must provide timely, accurate, and consistent intellectual property legal advice to enable the Aeronautics lines of business to achieve business goals while maintaining an acceptable level of business risk. The person filling this position will provide a wide range of intellectual property legal support and advice regarding a full spectrum of legal issues involving intellectual property related to commercial, international and government contracts and subcontracts, intellectual property litigation, patent, copyright, or trademark matters including patentability of inventions, discovery, infringement of patents or copyrights, validity of trademarks. The successful candidate will work with key business leaders, including program personnel, and will be responsible for drafting and negotiating prime and subcontract intellectual property terms and conditions, non-disclosure agreements, complex intellectual property agreements, complex intellectual property rights provisions in teaming and other business agreements, and protection of data rights. The candidate must be well versed in Government Contract data rights issues under the FAR and DFARS regulations. Must have excellent analytical, verbal, and written communication skills, with an emphasis on attention to detail and a demonstrated ability to work effectively with multidisciplinary teams and a strong personal and work ethic. Will be required to secure a top secret government security clearance. Undergraduate and law school, JD or LLB, degrees required. Must be admitted to practice law by one or more states and be admitted to practice before the US Patent & Trademark Office. This position reports to the Director and Chief Intellectual Property Counsel for Licensing.

Requirements

  • Minimum 10 years of relevant experience in intellectual property law, including IP licensing
  • JD or LLB is required, and candidate must be admitted to practice before the US Patent & Trademark Office
  • Must be admitted to practice law by one or more state bars
  • Significant experience in and fundamental understanding of commercial IP license agreements
  • Experience in and fundamental understanding of IP-related clauses in government contracts, the Federal Acquisition Regulation and the Defense Federal Acquisition Regulation Supplement regulations as they apply to Government Data Rights, specifically, patent, technical data, and software rights
  • Must have excellent writing and oral communication skills, with emphasis on attention to detail
  • Ability to easily interface with and influence corporate and customer executives and collaborate with program counsel in a team environment
  • Ability to obtain and maintain a DoD Top Secret clearance

Nice To Haves

  • Experience in and fundamental understanding of intellectual property law, including commercial and international IP transactions, intellectual property litigation, software licenses, copyright law, and trademark law, as well as understanding of FAR and DFARS regulations regarding Government Data Rights
  • Experience as an outside counsel, with a strong network and understanding of the IP landscape
  • Must be a motivated self-starter who can energize and collaborate with the team, take responsibility for legal projects, with proven ability to work in a fast-paced environment and manage a high volume of work

Responsibilities

  • Assist with the creation, implementation, and advise all business areas on a comprehensive, OneLM approach to licensing the company’s IP to non-governmental third parties while supporting business transactions and managing risk
  • Assist in reviewing and approving all licenses of Lockheed Martin IP to third parties for commercial purposes
  • Serve as a POC for one or more Lines of Business within the Aero business area and advise management on IP-related legal issues, including government contracts, Data Rights issues under the FAR and DFARS, commercial transactions, mergers and acquisitions, emerging issues (e.g., artificial intelligence), and IP litigation
  • Interface with one or more Aero lines of business and customer executives, influencing and collaborating with Aero program counsel in a team environment
  • Ensure compliance with government contract law, Federal Acquisition Regulation, and relevant clauses (e.g., patent, technical data, and software rights)
  • Apply business acumen, analytical, and problem-solving skills to manage risk and resolve complex IP issues
  • Demonstrate reliability, sound judgment, and a proactive approach to addressing IP challenges
