About The Position

Mitsubishi Chemical America (MCA), the Americas headquarters of one of the world’s largest chemical and advanced materials companies, is seeking an Assistant General Counsel – Transactions to lead our transactional legal practice across the region. This is a rare opportunity for a commercially minded, business-oriented attorney to operate at the intersection of strategy, operations, and innovation—supporting everything from M&A and EPC projects to complex commercial agreements that keep a global manufacturing enterprise moving. As AGC – Transactions, you’ll own and lead the full lifecycle of high-impact deals, while mentoring a growing legal team and shaping how legal supports the business at scale.

Requirements

  • J.D. from an accredited law school and active U.S. bar license
  • 7–12+ years of transactional legal experience
  • Strong background in contract drafting and negotiation; M&A and/or EPC experience preferred
  • In-house experience strongly preferred (law firm experience welcome)
  • Ability to communicate clearly and pragmatically with non-legal stakeholders, including global partners
  • Comfortable advising at the executive level and managing multiple, complex workstreams

  • Cross-border transactions or Japanese business exposure
  • Antitrust, IP, export controls, environmental law, or government contracting experience

Responsibilities

  • Lead mergers, acquisitions, divestitures, and joint ventures from LOI through post-closing integration
  • Advise senior leadership in the Americas and Japan on cross-border and enterprise-level transactions
  • Support EPC projects, facility expansions, site exits, and real estate transactions across manufacturing and warehousing sites
  • Draft, review, and negotiate a wide range of commercial agreements including supply, distribution, procurement, services, manufacturing, tolling, licensing, and technology agreements
  • Partner with business leaders to structure deals, allocate risk, and enable commercial objectives
  • Identify and manage legal and compliance risks, including export controls, antitrust, anti-corruption, trade compliance, and corporate governance matters
  • Prepare board and shareholder approval materials and ensure alignment with internal controls and delegations of authority
  • Build and continuously improve contract templates, playbooks, and negotiation standards
  • Oversee contracting processes to improve efficiency and scalability
  • Manage outside counsel and mentor direct reports within the legal team
