About The Position

The Contract Manager is responsible for managing Passport's contract administration function and ensuring the operational integrity of our Contract Lifecycle Management (CLM) platform. Reporting to the General Counsel, you will oversee the day-to-day execution of the contracting process, maintain CLM platform data quality and governance, and ensure systematic compliance with established contracting procedures. This role requires independent judgment in managing contract workflows, resolving routine contracting issues, and maintaining the foundational infrastructure that supports Passport's legal operations. The Contract Manager ensures contracts are processed accurately, efficiently, and in accordance with company policies while maintaining the highest standards of data integrity within our legal technology systems.

Requirements

  • Bachelor's degree in Business Administration, Legal Studies, or related field
  • 3-5 years of experience in contract administration, contract management, or legal operations
  • Demonstrated experience managing contract lifecycle processes and CLM platforms
  • Proven ability to independently manage contract workflows and exercise judgment on routine matters
  • Strong working knowledge of Salesforce.com or similar CRM/contract management systems
  • Proficiency in Microsoft Office Suite (Word, Excel, Outlook) and G-Suite
  • Exceptional attention to detail with demonstrated track record of maintaining data accuracy
  • Strong analytical skills with ability to identify patterns, trends, and systemic issues
  • Excellent organizational and time management skills with ability to prioritize independently
  • Professional written and verbal communication skills
  • Ability to work independently with minimal supervision on routine matters
  • Sound judgment regarding when to escalate issues to General Counsel

Nice To Haves

  • Paralegal certificate or legal studies background
  • Experience with Ironclad or similar CLM platforms (Docusign CLM, Luminance)
  • Familiarity with B2B SaaS or GovTech contracting environments
  • Experience in technology company legal departments
  • Understanding of basic contract law principles and commercial agreement structures
  • Experience conducting contract audits or data remediation projects

Responsibilities

  • Manage end-to-end processing of standard customer and vendor contracts using approved templates
  • Exercise independent judgment in applying contract templates to routine business situations
  • Review and analyze contract terms to ensure alignment with standard company policies and pricing structures
  • Coordinate contract execution timelines and manage workflow priorities to meet business deadlines
  • Resolve routine contracting questions and issues using established guidelines and company policies
  • Escalate non-standard contract terms, complex pricing structures, or unusual business arrangements to General Counsel
  • Ensure timely distribution of fully executed contracts to Finance, Revenue Operations, and other stakeholders
  • Maintain comprehensive data quality standards across Salesforce.com and Ironclad CLM platform
  • Implement and enforce uniform naming conventions, metadata tagging protocols, and filing structures
  • Conduct systematic audits of contract records to identify and correct data integrity issues
  • Ensure accurate parent/child relationship structures for all customer agreements in the CLM system
  • Manage contract repository organization to ensure contracts are properly categorized and searchable
  • Monitor CLM platform compliance and identify systemic data quality issues requiring remediation
  • Generate and analyze contract reports to identify trends, gaps, or areas requiring process improvement
  • Ensure all contracts comply with established approval matrices and internal control procedures
  • Verify accuracy of contract terms, pricing, deliverables, and financial calculations
  • Review contracts for completeness, internal consistency, and compliance with company standards
  • Maintain and update contract processing procedures and internal documentation
  • Identify recurring issues or bottlenecks in contract workflows and recommend solutions
  • Serve as primary point of contact for Sales and Customer Success teams on routine contract matters
  • Train and guide cross-functional stakeholders on proper contract intake and CLM platform usage
  • Maintain complete and organized retention of all executed contracts in compliance with company policies
  • Track contract expiration dates, renewal timelines, and key milestone dates
  • Manage contract amendment and renewal processes for standard agreements
  • Ensure proper documentation of all contract modifications and related correspondence
  • Coordinate with Finance team to reconcile contract records with billing and revenue systems
  • Respond to internal requests for contract information, status updates, and documentation
  • Maintain confidentiality of sensitive contract terms and proprietary business information
  • Serve as primary administrator for routine CLM platform configuration and maintenance
  • Utilize Salesforce.com and Ironclad to track contract details, manage workflows, and generate reports
  • Identify opportunities to leverage technology features to improve contract processing efficiency
  • Troubleshoot routine technical issues with CLM platform and coordinate with IT or vendors as needed
  • Stay current on CLM platform updates and new features to optimize contract management processes
