About The Position

The Contract Specialist is responsible for preparing, reviewing, administering, extending, and terminating a variety of corporate agreements or addendums. Prepares agreement notice letters as requested by business leaders. Updates and maintains symplr’s customer relationship management and contract management systems.

Requirements

  • Bachelor’s degree, or equivalent combination of education and experience
  • Two to four years of experience drafting and negotiating commercial agreements and prior experience with contract administration
  • Excellent time management, resource organization and priority establishment skills, and ability to multi-task in a fast-paced environment
  • Ability to work independently and as part of a team
  • Keen attention to detail and sensitivity to confidential matters
  • Ability to identify, analyze, and suggest solutions for problems, customer complaints or questions
  • Good organization skills and the ability to multitask on several projects simultaneously
  • Excellent analytical skills
  • Ability to draft, analyze, negotiate, and communicate on legal and business issues
  • Familiarity with software licensing concepts such as limitations of liability, indemnification, warranties, etc.
  • High proficiency with MS Office Programs
  • Excellent written and oral communication skills
  • High energy, creative, self-motivated, and able to complete tasks with minimal supervision.
  • Works well in a fast-paced, high pressured environment with irregular hours

Responsibilities

  • Review, draft, and administer technology-related commercial agreements and addendums primarily consisting of consulting services agreements, statements of work, software license and services agreements, non-disclosure agreements, term extensions or terminations, agreement notice letters, and other commercial agreements; negotiate as applicable, all with support of team as needed
  • Maintain a proficient working understanding of symplr’s day-to-day functions and symplr’s products and services
  • Respond to field requests for assistance with RFP/RFI/RFQs
  • Ensure that symplr’s corporate policies (including financial policies such as revenue recognition) and directives are vetted, complied with, and incorporated into contractual documents as applicable
  • Direct salesperson in obtaining any necessary approval(s) for non-standard contractual request made by customer; monitor the approval(s) from the appropriate subject matter experts and release agreement when all approvals are received
  • Upload all signed agreements to symplr’s contract management system; update, maintain, and ensure the accuracy of an internal contract management system and customer relationship management system; assist department staff with various agreement-related projects and handle all administrative aspects of agreement processing
  • Monitor agreement expirations and creates agreement renewals where appropriate
  • Work closely with team on all revisions to agreement templates
  • Monitor supplier contractor expiration and pursue supplier contractor renewals where appropriate
  • Serve as primary liaison among various symplr departments to analyze agreements, conduct research, and respond to cross-department complex questions on provisions of specific agreements
  • Proofread, edit, and fact-check agreements for accuracy and consistency and review signed agreements received for handwritten or non-highlighted revisions and stamps approval; facilitate signature by official company signatory on all signed agreements received; return copies of fully executed agreements to the third-party sales prospect, client, vendor, consultant, or supplier as appropriate
  • Manage the Non-Disclosure Agreement process from start to finish, including coordinating third party revisions, execution, and updating symplr’s internal contract management and customer relationship systems
  • Complete special projects as requested
