About The Position

The Corporate Counsel-Commercial Transactions role supports Walgreens’ Commercial Transactions Legal Team by drafting, reviewing, and negotiating a variety of commercial agreements that enable merchandising, procurement, and other business operations. Working closely with business partners, this attorney will handle matters independently, learn and apply established templates and playbooks, and help drive efficient contracting processes across the enterprise. The role complements the work of senior team members by supporting merchandising, procurement, and supply chain while developing the skills to take on increasingly complex transactions. Requirements

Juris Doctorate from an accredited law school and at least three (3) years of post-bar attorney legal work experience in a combination of in-house corporate and/or law firm positions.
Required licensure to practice law in at least one state
Required Illinois bar membership or active bar membership in good standing in at least one U.S. jurisdiction
Experience with time management skills such as prioritizing/organizing and tracking details and meeting deadlines of multiple projects with varying completion dates
Experience collaborating across business lines to develop and/or execute departmental strategies
At least 2 years of experience contributing to financial decisions in the workplace.
At least 2 years of direct leadership, indirect leadership and/or cross- functional team leadership.
Willing to travel up to 10% of the time for business purposes (within state and out of state)
Strong drafting skills with the ability to work from templates and adapt them to specific business needs.
Ability to manage multiple matters simultaneously and meet deadlines in a fast‑paced environment.
Works independently and takes ownership of projects, including continuous improvement efforts (process enhancements, training, and implementation).
Strong written and verbal communication skills with the ability to explain legal concepts in clear, practical terms.
Strong attention to detail and organizational skills.
Collaborative mindset with the ability to build trust with business partners and legal colleagues.
Willingness to learn, take feedback, and grow into more complex transactional work.

Responsibilities

Handles routine legal matters which generally focus on applying knowledge of one or more legal specialties
Typically receives specific direction from management or more senior law professionals as to the outcomes, process and schedules expected while developing a deeper knowledge of the business operations of the company
Collaborates with cross-functional teams to execute legal strategy
Assists on cases, matters and projects, performs and supervises research, reviews standard documents and routine contracts, and prepares routine filings.
Develops and implements internal legal policies and best practices to enhance operational efficiency
Works to develop fluency in legal concepts impacting the work performed
Draft, review, and negotiate a variety of commercial agreements, including vendor agreements, supply agreements, procurement agreements, services agreements, merchandising agreements, funding agreements, and NDAs.
Support merchandising teams by preparing agreements for retail merchandise, vendor funding, promotional programs, and product placement using established templates and guidance.
Collaborate with merchandising, procurement, supply chain, finance, and operations teams to understand business objectives and provide practical, solutions‑oriented legal advice.
Support the Procurement and other business teams by drafting and negotiating agreements for goods and services, including consulting, benefits, construction, energy, logistics, warehousing, transportation, and other services under the supervision of senior counsel.
Customize and adapt contract templates to meet business needs while maintaining consistency with legal standards and risk positions.
Identify legal and operational risks in commercial agreements and propose practical mitigation strategies.
Manage lower‑complexity matters independently and escalate higher‑risk or novel issues appropriately.
Guide business partners through the contracting process, including template selection, required approvals, and signature workflows.
Build strong working relationships across the organization (compliance, privacy, finance, operations, IT Security) to support efficient and timely contract execution.
Ensure contracts comply with applicable laws, internal policies, and enterprise risk standards.
Learn and apply contracting playbooks, templates, fallback positions, and negotiation guidelines.
Assist in updating templates and developing new ones as business needs evolve.
Support continuous improvement of contract lifecycle management processes, including intake, review, negotiation, and signature workflows.
Contribute to internal training materials and guidance for business partners on contracting best practices.
