About The Position

York’s legal team is looking for a director to support M&A and other strategic transactions as well as SEC regulatory compliance. This is an exciting time in the company’s growth and the successful candidate will have an opportunity to help shape the company’s structure and capabilities while also facilitating its advancement as a public company. The role will support and report to the Chief Legal & Administrative Officer and will be located in York’s Greenwood Village office (no remote option).

Requirements

  • JD from an accredited law school; active bar membership in good standing in at least one jurisdiction.
  • 15+ years of legal experience with significant focus on public company compliance, corporate governance, capital markets, and M&A transactions.
  • Demonstrated leadership in providing legal advice regarding mergers, acquisitions, and joint ventures.
  • Experience managing complex, cross-border M&A transactions and navigating their interconnected nature with multiple business functions.
  • Strong understanding of treasury operations and debt portfolio management.
  • Extensive experience advising boards and senior leadership regarding SEC and NYSE compliance, disclosure, and reporting requirements.
  • Proven ability to advise senior leadership with respect to governance and shareholder engagement.

Responsibilities

  • Lead and manage legal aspects of mergers, acquisitions, joint ventures, and other strategic transactions.
  • Navigate the interconnected and cross-functional nature of these transactions, collaborating across legal, finance, tax, people operations, and technical and engineering teams to achieve optimal outcomes.
  • Provide strategic legal support for deal structuring, due diligence, negotiation, execution, and post-closing integration.
  • Advise on financing transactions, capital markets offerings, and related disclosure requirements.
  • Draft, review, and negotiate transaction documents in partnership with internal and external counsel.
  • Provide agile legal advice to the treasury team in support of strategic management of the company’s debt portfolio.
  • Support debt issuances, refinancing activities, and capital structure initiatives, ensuring compliance with applicable laws and contractual obligations.
  • Provide advice and counsel regarding securities law compliance, public company reporting, and corporate governance.
  • Prepare and review SEC filings (10-K, 10-Q, 8-K, Proxy Statement, Section 16 filings, etc.) in collaboration with internal stakeholders, notably Finance and Internal Audit.
  • Coordinate internal working groups as necessary to support compliant and accurate reporting.
  • Plan and coordinate the annual meeting of stockholders in coordination with stakeholders.
  • Contribute to the development of internal controls and corporate governance programs; advise as to best practices and facilitate adoption throughout the organization.
  • Oversee related training programs, inclusive of insider trading, Red FD and Code of Conduct.
  • Advise regarding 10b5-1 trading plans and guidelines and pre-clearance processes.
  • Monitor regulatory environment and ensure up to date policies and compliance advice.
