About The Position

Haigh-Farr is a premier antenna design, manufacturing and test house developing products used across all platforms in the aerospace industry including missions to Mars, the International Space Station and products fielded to the U.S. Military supporting the warfighter. In our over 50-year history we have enjoyed steady, planned growth. Haigh-Farr plans to further grow our team and capabilities to meet increasing demand and to expand into new markets and antenna technologies. Haigh-Farr is seeking Corporate Counsel to join our management team. Corporate Counsel will offer legal counsel and support in all areas of the business collaborating across departments. The position will provide legal guidance on various matters to ensure compliance and protect the Company’s interests. The role will also support detailed contract reviews in all facets of the business.

Requirements

  • Significant legal experience in directly related DoD/Federal prime government contract administration/management and compliance matters
  • Demonstrated ability to work effectively with stakeholders across the organization, including regular senior management level briefings on key issues.
  • Ability to translate between business and technical risk and communicate clearly to leadership.
  • Ability to manage multiple priorities in a fast paced, dynamic environment.
  • Proven Contract drafting and negotiation skills.
  • Proficient use of Microsoft Office products (Word, Excel, PowerPoint, Access, Project, Outlook)
  • Keen understanding of FAR/DFAR and associated regulations. Broad experience with a variety of contract types: firm fixed price, cost-type, commercial/non-commercial, production, development, license, non-disclosure and teaming agreements
  • Juris Doctor in law, NH Bar membership
  • Minimum of 3+ years’ experience
  • International contract experience desired; ability to interact effectively with Company management, business area leads, functional counterparts and team members in a professional manner
  • Demonstrated business acumen with experience in developing innovative solutions and a successful record of problem solving
  • Strong interpersonal and communication skills (written, verbal, and presentation)
  • U.S. citizenship required, with ability to possess a security clearance¬¬¬¬¬¬¬

Responsibilities

  • Support the Company’s strategic development and planning, provide leadership guidance, and foster functional expertise with support personnel. Act as a lead for conflict resolution of contract issues, while mentoring and training team members for similar results.
  • Perform contract management and administrative duties throughout the contract lifecycle including, but not limited to, proposal review and preparation, supporting negotiations, executing contract modifications, initiating contract close-outs and providing overall program support for complex, multi-year contracts.
  • Support contract negotiations in all areas of the business including with customers, suppliers, contractors and the like.
  • Support regulatory compliance initiatives in all elements of the business (i.e., CMMC, DCMA, OSHA, DES, Federal Acquisition Regulations) and monitor adherence to said requirements. Collaborate with associated internal teams (IT, Quality, Health and Safety, etc.) in such matters.
  • Oversee the Company’s Export Compliance Program including customer verification (Denied Parties’ List, etc.), Commodity Jurisdiction requests, DDTC and EAR registrations, etc.
  • Engage with outside counsel as required in all matters related to IP, software licensing agreements and the like with respect to the Company’s product offerings.
  • Work with Marketing to ensure all marketing literature (data sheets, website, trade show literature, etc.) complies with DCSA requirements.
  • Support the FSO and V.P. of IT in all matters related to CUI and CMMC training and compliance requirements.
  • Ensure Haigh-Farr’s supply chain Terms and Conditions meet all customer and FAR flow downs applicable to the particular procurement. Work with Quality to ensure same for all quality flow downs.
  • Monitor and report to Senior Leadership on relevant regulatory rules including proposed changes and recent enactments.
  • Provide initial insight into legal matters that may not be in your area of expertise but allow the Company to understand the issue and possible resolution. Engage outside counsel and act as the primary POC where needed.
  • Proactively engage with program teams and customers to ensure that programs are executing to contract requirements, managing scope, and mitigating risks throughout contract execution
  • Ensure that terms and conditions comply with all contract requirements, internal policies and all Federal, State and applicable laws.
