If you're driven by the passion to change lives, this is the place for you.Job Summary  Assist the Corporate Secretary and/or Manager Corporate Affairs with governance and compliance matters relating to the Board of Directors and its committees, subsidiary boards, stockholders and executives. Be responsible for and/or assist in completing team duties, principally relating to stockholder services and associated corporate governance matters. This includes managing the relationship with registered stockholders and the external transfer agent, oversight of the Company’s dividend reinvestment and stock purchase plan, preparing the proxy statement and other required compliance filings, coordinating the solicitation of proxies, managing the corporate insider trading compliance program, and ensuring compliance with NYSE and OTC listing requirements.Job Responsibilities  This is a position in the Corporate Governance Specialist job family, with potential for placement at a Senior or Lead level, commensurate with education/experience.   The individual in this role will: •    perform moderately complex assignments under tight deadlines and often changing circumstances•    have a familiarity of basic governance practices and procedures•    develop trusting relationships with clients (e.g. senior leadership, outside directors)•    maintain composure under pressure•    present and communicate outputs of assignments to team and/or leadership

Requirements

  • Two (2) years of experience in a related field
  • Bachelor’s degree; preferred majors include: Business Administration, Finance, Accounting, or related field.

Nice To Haves

  • Four years of experience in a related field
  • Strong proficiency in data management.
  • Strong proficiency in utilizing Microsoft Excel.
  • Experience using other specialized departmental software/tools (e.g. Workiva, EDGAR, Managed SharePoint)

Responsibilities

  • Support activities related to our stockholders, including routine inquiries, the annual meeting of stockholders, dividend declarations and payments, etc.
  • Preparation of required regulatory filings (e.g., FERC, SEC, state commissions, etc.) for WEC and subsidiaries, including proxy statement
  • Collaborate with internal stakeholders (e.g. external reporting, regulatory compliance) to complete various disclosures required of public companies, principally relating primarily to stockholder matters
  • Provide support for corporate transactions, including financings, mergers and acquisitions, investments and stock-related transactions 
  • Ensure corporate compliance with directors and officers covered by Section 16(b) rules, including insider trading practices, pre-clearance, and preparation and filing of associated SEC forms
  • Prepare complete, timely and accurate materials for presentation to Boards, committees and management, which includes the solicitation and review of materials from outside parties (e.g., attorneys, consultants, transfer agent, auditors, etc.)
  • Research and consult on necessary actions to be taken by various governing bodies and/or individuals to effectuate corporate goals and to ensure compliance with regulatory requirements, applicable charters, and governance guidelines
