About The Position

The Corporate Paralegal will support the Legal Department in delivering high-quality legal services, contract management, and operational excellence across the organization. This role requires an experienced in-house paralegal who can independently manage contract workflows, draft and review routine agreements, maintain corporate records, and collaborate cross-functionally while escalating complex issues as appropriate. This position plays a key role in contract lifecycle management, corporate governance support, and departmental process improvement initiatives.

Requirements

  • Bachelor’s Degree plus 4 - 6 years of experience with in-house legal department; Paralegal Certificate preferred.
  • Demonstrated experience reviewing different types of contracts, such as consulting agreements, service agreements, and non-disclosure agreements. (Pharmaceutical or biotechnology industry experience a plus.)
  • Knowledge and experience in applying compliance and regulatory standards.
  • Proficiency in using contract management software and tools. Experience with Agiloft contract management system a plus.
  • Strong organizational skills with exceptional attention to detail.
  • Ability to manage multiple priorities and work independently in a fast-paced environment.
  • Collaboration and communication skills to work with cross-functional teams and internal business partners.

Responsibilities

  • Own the end-to-end contract lifecycle from intake through drafting, negotiation, approval, execution (including e-signature), renewal, amendment, and termination, ensuring accuracy, policy compliance, and timely completion despite competing priorities.
  • Review, draft, and redline a broad range of commercial agreements (e.g., NDAs/CDAs, MSAs, SOWs, consulting and vendor agreements), applying sound judgment to balance business objectives with risk mitigation and appropriately escalating complex or high-risk matters.
  • Oversee contract governance and compliance, including monitoring key dates and obligations, generating and analyzing reports from the contract management system, proactively communicating renewals/expirations, and supporting informed decision-making across stakeholders.
  • Drive operational excellence in contract management, administering and optimizing the contract lifecycle management (CLM) system, maintaining templates and clause libraries in partnership with Legal, improving processes, and independently resolving routine issues while escalating with clear context and recommendations as needed.
  • Assist with maintenance of corporate records, state registrations, business licenses, and required governmental filings, ensure filings are accurate, complete, and submitted within required timeframes.
  • Partner effectively with internal stakeholders to respond to contract-related inquiries, clarify requirements, and align on business priorities, building strong cross-functional relationships and contributing to team cohesion and operational effectiveness.
  • Contribute to departmental process improvement initiatives by identifying inefficiencies, proposing solutions, and collaborating with cross-functional partners to implement enhancements that strengthen overall legal operations.
