The Corporate Paralegal will provide support to the Company’s Corporate Law group, including, but not limited to:i) managing the Company’s global subsidiaries (U.S. and OUS), corporate secretarial activities and corporate compliance calendars across those global subsidiaries; and ii) assisting the Corporate Governance Manager with supporting Company’s Board of Directors and Board Committees. The role will assist in managing corporate records, ensuring compliance with local requirements, preparing board and shareholders materials and supporting internal governance projects. The Corporate Paralegal will report to the Corporate Governance Manager and will work closely with other members of the Legal and Compliance team, commercial teams, and other business stakeholders. This role will sit hybrid two days a week in our Parsippany, NJ office.

Requirements

  • Bachelor’s degree or paralegal certificate required.
  • 7 + years of corporate legal/corporate subsidiary management experience in a major law firm or in-house at a company with a robust global subsidiary footprint, preferably within the medical device industry.
  • Extensive experience with U.S. and OUS subsidiary management.
  • Experience with corporate secretarial work, including Board of Directors support.
  • Proficient in full Microsoft Office package.
  • Proficient with Diligent or other board management software.

Responsibilities

  • Responsible for all elements of corporate secretary work for the Company’s global subsidiaries (+/- 50).
  • Manage the annual compliance calendar, required account filings and related documents.
  • Manage other required filings to the local authorities (UBO filings, etc.).
  • Prepare and review corporate records (meeting minutes, resolutions, powers of attorney, etc.).
  • Manage record keeping across all global subsidiaries.
  • Manage ad hoc corporate amendments (director/officer changes, address changes, entity additions/dissolutions, etc.)
  • Develop and execute annual calendars for all global subsidiaries.
  • Develop and maintain global database/site for corporate records.
  • Manage outside counsel engagement and costs.
  • Coordinate and manage the work with outside contractors for subsidiary maintenance.
  • Assist with special requests from Company stakeholders relating to the global subsidiaries.
  • Ongoing corporate governance support to other functions.
  • Coordination and collaboration with the finance, tax, treasury, HR, and commercial teams, and other business stakeholders to manage day-to-day corporate tasks/requests.
  • Manage document execution (including signatures, notarization, legalization, apostille, etc.), filings, registrations, and deadlines.
  • Manage Board and Committee calendar and scheduling.
  • Assist with managing Board and Committee meeting materials.
  • Assist with SEC filings.
