About the Role: Grade Level (for internal use): 16 The Team: This position supports a global business with approximately $14 billion in revenue and over 35,000 employees worldwide. The team plays a critical role in the Company's governance and disclosure processes, taking significant responsibility for regulatory compliance and corporate matters. You'll be part of a high-impact legal function that directly influences strategic business decisions and ensures the Company meets its obligations as a publicly traded entity. Responsibilities and Impact: Play a key role in S&P Global’s governance framework, advising on Board matters, shareholder relations, and corporate policies Facilitate effective Board governance by organizing meetings, preparing comprehensive materials, and maintaining accurate minutes to support strategic decision-making Serve as primary liaison between the Board of directors, Executive leadership, and shareholders, ensuring seamless communication and transparency Design, implement, and continuously enhance the company's corporate governance framework to meet evolving regulatory requirements and best practices Oversee all corporate record-keeping, statutory filings, and regulatory compliance activities while serving as the central repository for corporate documents Coordinate with external governance service providers and legal counsel to optimize governance processes and ensure regulatory adherence Lead governance program development initiatives, providing strategic counsel on complex corporate matters and regulatory changes Lead Securities Exchange Act disclosure and compliance initiatives, ensuring accurate and timely SEC filings and regulatory submissions Manage NYSE and SEC compliance matters, maintaining the Company's good standing with regulatory bodies and exchanges Drive process improvements in disclosure and compliance workflows to enhance efficiency and risk management Compensation/Benefits Information: (This section is only applicable to US candidates) S&P Global states that the anticipated base salary range for this position is $257,296 to $410,000. Final base salary for this role will be based on the individual’s geographic location, as well as experience level, skill set, training, licenses and certifications. What We're Looking For: Basic Required Qualifications: Juris Doctor (JD) degree from an accredited law school with strong academic credentials Active bar admission in good standing in at least one U.S. jurisdiction 10 years of corporate law experience with substantial focus on securities law, regulatory compliance, and corporate finance transactions Experience supporting public company Board and committee governance, including preparation of materials, meeting management, and compliance with applicable securities and corporate governance requirements Deep expertise in SEC reporting requirements, including experience with 10-K, 10-Q, 8-K filings, and proxy statements Proven track record in capital markets transactions, credit facilities, and corporate banking matters Strong analytical and problem-solving skills with ability to navigate complex regulatory frameworks Additional Preferred Qualifications: Advanced degree (LLM) in Corporate Law, Securities Law, or related field, or equivalent specialized training in corporate governance Experience working within publicly traded companies in the financial services, technology, or regulated industries with complex stakeholder environments Proven success operating in highly matrixed organizational structures with multiple reporting relationships and cross-functional collaboration Professional certifications such as Certified Corporate Secretary (CCS) or similar governance-related credentials demonstrating commitment to ongoing professional development What’s In It For You?
