About The Position

At LTSE, we are working to reshape the public markets to better support long-term value creation. As we continue to grow and innovate, we are seeking Director and Senior Counsel, Regulation and Markets to help advance our regulatory strategy and ensure the strength and integrity of our market. This is a highly visible role at the intersection of market structure, regulation, and innovation. You will help guide LTSE through the evolving securities regulatory landscape while supporting initiatives designed to modernize the public markets. The ideal candidate brings a deep understanding of SEC and SRO rules, along with significant experience drafting and managing rule filings. You will lead the rule filing process end-to-end - from strategy and drafting through submission and engagement with the SEC - serving as LTSE’s primary point of contact with the Commission. Working closely with teams across the Exchange, you will translate business initiatives into effective regulatory frameworks, provide strategic, risk-based regulatory guidance, and help ensure LTSE maintains the highest standards of compliance and governance. You will also oversee filings throughout the SEC review process, ensuring timely submissions and thoughtful responses to regulatory feedback. This role is ideal for a strategic, experienced regulatory lawyer who thrives in a dynamic environment and is motivated by the opportunity to help shape the future of the public markets.

Requirements

  • JD degree with a minimum of 5 years of hands-on experience at the SEC, an exchange/SRO, or a law firm covering exchange matters.
  • Proven experience with the 19b-4 filing process and rule drafting.
  • Exceptional written and verbal communication skills for effective interaction with SEC staff, SROs, outside counsel, Exchange personnel, and Board members.
  • Superior organizational skills, adaptable to a fast-paced start-up culture.
  • Creative problem-solver, capable of meeting stringent deadlines and making decisive recommendations.

Nice To Haves

  • Previous experience in a start-up environment.
  • Residency in the New York Tri-state area with preference for occasional in-office attendance (Financial District location).

Responsibilities

  • Drive the rule filing process, Identifying, drafting, and submitting rule filings to the SEC, acting as the primary point of contact with appropriate staff of the Securities and Exchange Commission.
  • Overseeing and mentoring junior attorneys in the rule filing process.
  • Advise business and product development personnel on regulatory matters and interpretation of the LTSE Rulebook.
  • Research and interpret complex SEC and SRO rules and regulations.
  • Cover regulatory and industry meetings (eg. CAT, CTA/UTP, etc.).
  • Contribute to regulatory examinations and responses.
  • Assist in preparing materials for the Board and exchange committees.
  • Monitor regulatory developments at the SEC and other SROs.
