Role Overview
We are looking for an experienced Legal Counsel to support venture investments, startup formation, and cross-border legal structures.
This is a freelance, deal-based role suited for lawyers with experience in venture capital, startup law, or corporate transactions.
You will work closely with the Founder & GP of 16VC and portfolio founders on legal matters related to investments, company formation, and governance.

Requirements

• Has experience working with venture capital funds or startups
• Is familiar with SAFE, convertible notes, and early-stage financing
• Has experience with corporate structuring and startup law
• Is comfortable working with global founders and investors
• Can operate in a fast-moving early-stage environment

Nice To Haves

• Have worked with venture funds, accelerators, or venture studios
• Have experience across US or UK startup law
• Have advised early-stage founders or angel investors

Responsibilities

• Venture & Investment Legal Support
• Review and structure startup investment agreements
• Support SPV structures and venture investments
• Review SAFE, convertible notes, and equity agreements
• Assist with term sheets and deal documentation
• Startup & Corporate Structuring
• Advise founders on company incorporation and governance
• Support cap table and shareholder structures
• Draft and review founder agreements and ESOP plans
• Cross-Border Legal Guidance
• Advise on international startup structures
• Support legal considerations for US, UK, EU, and global startups
• Coordinate with external legal partners when necessary
• Risk & Compliance
• Identify legal risks in early-stage investments
• Ensure compliance with applicable corporate and investment regulations
