About The Position

The candidate will assist lawyers in all stages of Corporate and Securities transactional and related matters. The primary responsibilities of the position include, but are not limited to the following: • Prepare and file of corporation and limited liability company organizational and governance documents. • Prepare and file for EIN applications. • Prepare and file SEC Form ID EDGAR Next filer code applications. • Prepare signature packets and closing documents in accordance with acquisition and financing documents. Prepare closing sets and binders. • Obtain good standing certificates, D/B/A status, corporate lien searches. Prepare responses to audit request letters. • Microsoft Office support – edit documents, prepare presentations, format complex documents, create and update tables, convert .pdf files. • Provide general support to Corporate and Securities Department and assist with special projects, as needed.

Requirements

  • Certified Paralegal (this is preferred but not required).
  • Minimum of (5) years’ experience working as a paralegal in a corporate and securities department (ideally in a dynamic paced law firm).
  • Highly proficient with Microsoft Office applications, especially Word (including the ability to modify styles, and create tables of contents and indices), Excel, Adobe and PowerPoint, and able to quickly learn new technology and software applications.
  • Knowledge of SEC filings, including registration statements on Forms DRS, S-1, F-1, and reporting filings on Forms 10-K, 10-Q, 8-K.
  • Experience in billing time.
  • Good interpersonal, oral and written communication skills.
  • Superior attention to detail, as well as organizational and multi-tasking skills.
  • Must be able to handle highly-sensitive information and maintain confidentiality at all times.
  • Self-motivated, resourceful, adaptable, and capable of working independently as well as in a team.
  • Ability to effectively and accurately manage multiple projects, establish and maintain effective working relationships and independently prioritize workload, and meet deadlines.
  • Notary certification required – firm will pay for certification if candidate not certified upon hire.
