About The Position

This position is posted by Jobgether on behalf of a partner company. We are currently looking for a Senior Associate General Counsel. In this role, you will play a critical part in overseeing corporate governance, ensuring compliance with securities laws, and managing corporate transactions. You will closely collaborate with senior leadership, including the Board of Directors, to uphold all applicable regulations. The ideal candidate will possess significant experience in both legal firms and in-house settings, backed by a robust understanding of the public company environment.

Requirements

  • 7-9+ years of practice at a leading law firm and in-house public company experience.
  • J.D. from an ABA-accredited law school.
  • Active membership in good standing of a state bar.
  • Deep knowledge of SEC and NYSE rules and proven experience with public company filings.
  • Strong organizational skills with the ability to manage multiple deadlines and tasks independently.
  • An owner’s mentality for execution in a fast-paced environment.

Responsibilities

  • Lead compliance with SEC and NYSE rules and requirements, including preparation of all SEC reports.
  • Advise on and manage corporate governance matters, preparing materials for Board meetings.
  • Support Investor Relations by reviewing press releases and ensuring compliance with corporate communication regulations.
  • Oversee global equity programs, managing insider trading policies and employee education.
  • Assist with global subsidiary governance, maintaining corporate records and ensuring regulatory compliance.
  • Support a wide range of corporate transactions, including capital market activities and mergers.
  • Handle treasury and tax-related matters, including stock repurchase plans and intercompany arrangements.
  • Draft agreements, policies, and procedures as needed.
  • Collaborate with internal stakeholders across various departments.
  • Supervise members of the Legal team.
  • Drive continuous improvements in corporate legal processes.
