Overall Purpose of the Job Responsibility as a core member of the corporate development team, will be involved in key deal execution functions and M&A strategy development with high visibility and interaction with the CEO, CFO and the rest of the executive leadership team. This person will lead the evaluation of mergers, acquisitions, joint ventures or strategic alliance opportunities in the global Oilfield Service market. Primary areas of focus and strength will be in the following: strategy, mergers, acquisitions, divestitures, financial analysis, valuation, financial modeling, cost efficiency analysis, due diligence, and integration related activities. This will be from opportunity identification to contract negotiation and closing phase.

Requirements

  • Undergraduate degree in relevant discipline (Engineering or similar STEM degree or any )
  • Background in mathematics and strong analytical skills
  • 1-3 years of previous experience in relevant function (Investment Banking, Consulting, Corporate Development and Treasury) performing similar duties within the oil and gas industry is required.
  • College experience with market and/or competitive research.
  • Outstanding written and verbal communication skills.
  • Strong track record in mathematical and data analysis modeling.
  • Proficient modelling in Excel (including pivot tables, sensitivity analysis and macros) and excellent development of PowerPoint presentations.
  • Participate in developing project plans and interfacing with multiple stakleholders
  • Perform complex quantitative analyses and ad hoc business diligence
  • Prepare executive materials (PowerPoint presentations, Excel analysis etc.) distilling key data insights and summary conclusions to support senior management decision making.
  • Demonstrated ability in organizing and presenting complex analysis to stakeholders and senior-level management.
  • Travel up to 25% travel internationally.

Responsibilities

  • Analyze potential acquisitions, mergers or technical alliances and originate deal opportunities by interacting with subject matter experts at Expro and the target
  • Analyse the financial and other available business information of target companies in preparation of target profiles and deep dive analysis support the preparation of business case with product line and regional leaders to obtain internal deal approval; prepare presentations as required
  • Support and take ownership of business valuation and profit models of target companies, market dynamics and financial potential of investments including validation of synergies and assumptions
  • Coordinate due diligence process and compilation of due diligence reports and other documentation and use output to negotiate final contracts obtain BOD approval. Works with the appropriate internal departments (e.g. Legal, Finance, Supply Chain, IT, HR) to assist with the planning and progression of due diligence and related activities
  • Support the final contract negotiations with support of legal and financial advisors. Coordinate the transition process between Corporate Development and Integration leadership
  • Research ongoing tracking and analysis of key technology and service vendors value based care generally and care coordination specifically, with an eye towards emerging opportunities and threats as we pursue our business strategy
  • Gather the right internal or external data and analyze through the use of appropriate modeling (financial, market, and/or operational) to identify high-value targets. Leverage hypotheses-based approach to identify, validate and quantify opportunities.
  • Support the Investor Relations earnings and events cycles with financial, benchmarking and presentations as needed.
  • Identify and analyze issues and opportunities that could impact the strategic objectives of the business and engage relevant parties in solution development. Develop target profiles and deep dive analysis.
  • Provides relevant information on future trends and market direction and the potential impact on Expro business.
  • Support and develop 5 – 10 year growth plans (organic and inorganic) in conjunction of the different product line leaders and regional team.
  • Actively adhere to the Code of Conduct and Anti-Bribery policies, procedures and processes to ensure the highest ethical standards are maintained and exposure to liability or risk to Expro’s reputation is minimised. If necessary, report possible violations or conflicts of interest.
  • Actively adhere to and ensure compliance with applicable Quality policies, procedures, processes and systems. Takes an active part in quality improvement processes. Identify and report any deficiencies to supervisor and obtain authorisation for any deviations from standard procedures.
  • Actively comply with all applicable Health, Safety & Environmental (HSE) policies, procedures and processes. Promote HSE awareness; take responsibility and be accountable for own safety and safety of others. Demonstrate the personal application of HSE procedures in daily performance and always follow the 10 Safety House Rules.
  • Ensure objectives set under Employee Development Plan are met.
