About The Position

Terra Vista Management is a leading California real estate asset and property management firm specializing in managing a portfolio of companies and their assets which include RV resorts, upscale mobile home parks, marinas, and food and beverage operations. Our mission is to deliver exceptional service, corporate management expertise, property level support and innovative management solutions. Reporting to the General Counsel, the Senior Paralegal will be joining our in-house legal team. This role provides critical support across corporate governance, real estate matters, HR matters, commercial contracting, and litigation as well as general administrative functions. The ideal candidate will have a solid foundation in corporate governance (including a clear understanding of California requirements applying to corporations, limited liability companies and partnerships), strong knowledge of real estate terms and matters, experience working with human resources, , a working knowledge of litigation procedures (including responding to subpoenas and other discovery requests), and an ability to review, redline and summarize transactional documents. Exceptional organizational skills, technological savvy, attention to detail, strong communication abilities, and a collaborative work style are essential. The position also requires the ability to take on new and unfamiliar tasks and conduct thorough research to develop well-reasoned answers. The ideal candidate asks thoughtful questions and seeks guidance when appropriate, while also possessing the ability to work independently and exercise sound judgment. With the potential to be primarily remote, the role will require occasional on-site work at our corporate office in Del Mar, CA, and properties in Newport Beach, CA and San Diego, CA. Requirements

  • Associate’s Degree in Paralegal Studies, Bachelor’s degree in Paralegal or Legal Studies, Certificate in Paralegal Studies, or Bachelor’s degree in Business or related field.
  • A minimum of 5 years of experience in a paralegal role, preferably at a large law firm.
  • Extensive corporate governance experience required.
  • Experience with California law and strong understanding of legal terminology, procedures, and corporate/LLC/partnership governance.
  • Litigation experience strongly preferred.
  • Exposure to employment laws a plus.
  • Advanced computer proficiency, including expertise in Microsoft Word (with document editing and comparison tools), Excel (for spreadsheets and databases), Outlook, SharePoint, Planner, Adobe Acrobat Pro, and web-based conferencing and collaboration applications.
  • Advanced proficiency in online legal research and internet search resources.
  • Expert organizational skills and written and verbal communication skills.
  • High attention to detail and accuracy.
  • Ability to manage multiple priorities and adjust to changing priorities in a professional manner.
  • Ability to work well under pressure, facilitate solutions, and meet deadlines and milestones for projects assigned.
  • Discretion in handling sensitive and confidential information.
  • Ability to work independently with supervision as needed.
  • Collaborative mindset and ability to work cross-functionally.
  • Willingness and ability to learn and assume new tasks and responsibilities.

Responsibilities

  • Maintain corporate/entity records and minute books.
  • Independently prepare written consents for the election of directors and officers, resolutions for distributions, and other corporate and entity resolutions as required.
  • Research laws as assigned.
  • Ensure compliance with corporate/entity governance requirements and best practices.
  • Assist with transfers of entity membership interests.
  • Assist with leases, property management agreements, acquisitions, financings and other transactional closings and post-closing issues, including due diligence.
  • Coordinate with outside counsel and work with the internal team on all stages of litigation, arbitrations and mediations.
  • Timely manage the discovery process, including the collection, retention, and production (bates labelling) of documents, interview employees and analyze data, and review and revise written responses to discovery.
  • Draft and update employee agreements based on approved forms.
  • Assist with quarterly audits of labor law practices.
  • Work with HR to draft Standard Operating Procedures (SOPs) and employee acknowledgements.
  • With supervision, prepare, proofread, and edit correspondence, contracts, lease forms and other documents.
  • Work with operations to draft operational SOPs.
  • Track compliance with permits, licenses and registrations.
  • Monitor changes to laws, guidelines, or regulations and submit summary reports.
  • Conduct research and provide support on various legal issues as needed.
  • Manage legal department calendars, deadlines, and workflows.
  • Schedule meetings and prepare appropriate meeting materials.
  • Organize and maintain paper and electronic records on matters and assist in maintenance of document files on Sharepoint.
  • Participate in the design and provision of continual improvement of processes and procedures.
  • Track budgets and legal spending, including invoice review.
  • Perform additional duties and projects as assigned.
