Requirements

  • 10+ years of experience in a law firm and/or company structuring, drafting, negotiating and analyzing contracts
  • JD degree from an ABA accredited law school is required.
  • Admitted to practice in any state bar and in good standing
  • Able to work independently and exercise good business judgment
  • Able to partner effectively in a team environment and quickly establish credibility as an advisor and business partner with internal clients
  • Excellent verbal and written communication skills
  • Possesses strong analytical skills, attention to detail, and organizational skills, as well as the ability to meet tight deadlines and to work in a fast-paced environment

Nice To Haves

  • Experience working in the medical device/healthcare industry is a significant plus

Responsibilities

  • Leads contract negotiations involving transactions of medium to high risk and/or complexity with significant impact to the company.
  • Structures, drafts and negotiates agreements, including hospital supply agreements, IDN agreements, GPO agreements, direct and indirect procurement and sourcing agreements, distribution agreements, sales representative agreements, confidentiality agreements, consulting agreements, software license and SaaS agreements, information technology agreements, product sourcing agreements, endorsement agreements, product development agreements, noncompetition agreements, real estate leases, shipping and warehousing agreements, clinical study agreements, business associate agreements, standard terms & conditions, contract amendments, and other contracts.
  • Explains contract terms to business leaders and provides contract risk analyses and strategic guidance.
  • Possesses exceptionally strong contract drafting skills
  • Recognized as an internal authority on contract matters
  • Keen attention to details
  • Establishes and maintains a good rapport with business leaders, customers and suppliers to optimize negotiations, savings, service improvements and problem resolution
  • Uses good judgment in prioritizing numerous matters and functions well in a fast paced, dynamic environment
  • Reports to the Enovis in-house Vice President, Assistant General Counsel & Chief Transaction Counsel and is a member of the company’s legal/compliance department.
  • Interfaces with senior leaders of the company and works directly with the company’s sales, procurement, compliance, finance/accounting, regulatory/quality, IT, employment, and other departments.
  • Intermittent travel to other U.S. company offices.
