About The Position

The Vice President, Tax reports to the Chief Financial Officer and serves as the senior tax executive for the Company. This role is responsible for leading global tax strategy, structuring, compliance, and risk management across a private equity-backed real estate investment platform. The VP of Tax acts as a strategic advisor to executive leadership and sponsor stakeholders, supporting acquisitions, dispositions, joint ventures, capital markets transactions, and enterprise structuring. This role combines technical depth, transaction leadership, and organizational design to build a scalable, disciplined tax function aligned with a dynamic, transaction-driven REIT platform. Key Responsibilities: Strategic Leadership & Transaction Structuring · Serve as a strategic advisor to the CFO and executive leadership on tax-efficient capital allocation, legal entity structuring, and long-term REIT optimization. · Lead tax structuring for acquisitions, dispositions, joint ventures, financings, recapitalizations, and capital markets transactions, including development of transaction step plans and coordination with outside counsel. · Ensure tax considerations are embedded early in transaction planning and operational decision-making. · Partner with sponsor tax teams and external stakeholders as appropriate. REIT Compliance & Technical Oversight · Oversee REIT qualification and testing, including quarterly and annual compliance requirements. · Direct global tax compliance and reporting, including federal, state, local, and international tax matters, transfer pricing, indirect taxes, and incentives. · Oversee ASC 740 analysis, tax provisions, and related financial statement disclosures. · Monitor and interpret legislative and regulatory developments and advise leadership on strategic implications. · Supervise domestic and international tax controversy matters and examinations. Operating Model & Advisor Governance · Establish and maintain a disciplined advisor engagement model, including defining when matters are handled internally versus elevated to external advisors. · Manage relationships with accounting firms and law firms to ensure technical quality, efficiency, and cost discipline. · Design and maintain strong internal controls over tax reporting and compliance. · Oversee tax budgets, forecasts, estimates, and payment processes. Organizational Leadership & Capability Building · Build, lead, and scale a high-performing tax function capable of supporting a complex, transaction-driven REIT platform. · Develop internal technical capability and promote cross-training within the tax team. · Drive cross-functional integration across Finance, Legal, Investments, Development, and Operations. · Foster a culture of accountability, collaboration, and operational excellence. Qualifications: · Minimum of 15+ years of progressive tax experience, including at least 8-10 years of direct experience in REIT and partnership taxation within a real estate investment platform. · Significant experience leading tax structuring for M&A transactions, joint ventures, financings, and capital markets activity. · Background in a major public accounting firm and/or senior tax leadership role within a REIT or private equity-backed real estate platform. · Deep knowledge of REIT qualification, testing, and compliance requirements. · Demonstrated experience building and leading high-performing tax teams. · Experience operating within a private equity-backed or sponsor-owned environment strongly preferred. · Strong executive presence with demonstrated ability to influence C-suite and board-level stakeholders. · Proven ability to operate effectively in a dynamic, transaction-driven environment. Education & Certifications: · Bachelor’s degree in Accounting or Finance required. · Master’s degree in Taxation, MBA, or LLM preferred. · CPA strongly preferred. Additional Requirements: · Work Location: Dallas, TX (minimum of 3 days in the office). · Must be available for business travel as needed. · The work environment is an office setting with moderate office noise.
