About The Position

Southland Holdings is seeking an experienced In-House Counsel to support its portfolio of heavy civil infrastructure projects across the United States. This role will provide legal guidance on construction contracts, claims, risk management, and regulatory compliance while partnering closely with executive leadership and project teams. The ideal candidate is a business-oriented construction attorney who can deliver practical legal solutions in a fast-paced project environment. Requirements

  • Juris Doctor (JD) from an accredited law school
  • Licensed in Texas (or ability to obtain)
  • 7+ years of construction law experience
  • Experience supporting contractors, engineering firms, or infrastructure projects
  • Construction contract negotiation (AIA, EPC, design-build)
  • Claims and dispute resolution (change orders, delay claims)
  • Risk allocation, indemnity, and insurance
  • Construction bonding and subcontractor risk management
  • Contract compliance on large-scale infrastructure projects

Nice To Haves

  • Background in public works, heavy civil, or water/wastewater projects preferred

Responsibilities

  • Draft, review, and negotiate construction contracts and subcontracts
  • Support agreements including EPC, design-build, AIA, and vendor contracts
  • Ensure proper risk allocation and subcontract flow-down provisions
  • Advise on change orders, delay claims, and construction disputes
  • Support project teams in preserving contractual rights
  • Coordinate with outside counsel on litigation, arbitration, and mediation
  • Advise on indemnity, insurance, bonding, and contract compliance
  • Provide real-time legal guidance to project managers and estimators
  • Assist with bid review and pre-award contract negotiations
  • Support corporate governance and regulatory compliance
  • Advise on public procurement, licensing, and state/federal requirements
  • Manage outside counsel and control legal spend
  • Develop contract templates and internal legal standards
  • Train teams on contract risk and claims avoidance
