About The Position

This role focuses on advising clients through complex middle-market mergers and acquisitions transactions across a variety of industries including technology, entertainment, healthcare, consumer products, and aerospace. The Associate will work closely with experienced partners and lean deal teams, contributing directly to transactional workstreams from early structuring discussions through final closing. The position requires strong technical legal skills, excellent communication abilities, and attention to detail in drafting, negotiation, and transaction execution. Candidates must demonstrate hands-on experience working on real M&A transactions and possess the ability to manage multiple aspects of a deal process within a collaborative legal environment.

Requirements

  • 2–4 years of corporate / M&A legal experience
  • Demonstrated experience working on actual M&A transactions including drafting and negotiating purchase agreements
  • Prior experience at a BigLaw firm, strong boutique firm, or reputable midsize firm
  • Juris Doctor (JD) from an ABA-accredited law school
  • Strong academic credentials
  • Top 50 law school: GPA of 3.0+
  • Outside Top 50: GPA of 3.5+
  • Clear understanding of M&A deal structures, processes, and transaction documentation
  • Strong legal writing, research, and analytical skills
  • Excellent communication and collaboration abilities
  • Stable employment history with no serial job hopping
  • Candidates without direct M&A transaction experience will not be considered.

Nice To Haves

  • Experience representing private equity sponsors or strategic acquirers
  • Exposure to middle-market M&A transactions across multiple industries
  • Experience working on sell-side and buy-side transactions
  • Ability to independently draft and revise complex transaction documents
  • Prior experience working within lean deal teams handling sophisticated transactions

Responsibilities

  • Draft and negotiate key transactional documents including stock purchase agreements (SPAs), asset purchase agreements (APAs), LLC agreements, stockholder agreements, NDAs, and related deal documentation
  • Participate in transaction structuring discussions, deal negotiations, and client communications
  • Support the coordination of transaction timelines, diligence processes, and deal closing procedures
  • Collaborate with partners and deal teams on active transactions and strategic client matters
  • Conduct legal analysis related to corporate transactions, governance matters, and deal structuring
  • Assist with the management of transaction documentation and closing deliverables
  • Work directly with senior attorneys and clients to ensure deal progress remains on schedule
