About The Position

Cleveland-Cliffs has an immediate opening for a Senior Corporate Paralegal. The Senior Corporate Paralegal will be an integral member of the Legal Department and will support the corporate affairs team and the entire Legal Department in corporate governance, entity management, corporate compliance, file maintenance, outside counsel administration, and special projects. As a Senior Corporate Paralegal, this individual will have a direct professional reporting line to the Manager, Corporate Paralegal, in the Company’s Legal Department. The Senior Corporate Paralegal will also be expected to assist other members of the Company’s Legal Department as may be required from time to time, based on workloads and overall Company priorities.

Requirements

  • Proficient in Microsoft Office Suite.
  • Function as a team player, with the ability to organize, work independently, manage multiple projects concurrently, prioritize, and meet demanding deadlines in a fast-paced environment.
  • Willingness to be trained on and use various third-party platforms to generate and submit public filings, support Board of Directors activities, manage legal entities, and process outside counsel invoices.
  • Highly effective written and verbal communication skills, with an ability to communicate and interact professionally at all levels of the organization, including with senior executives and board members.
  • Self-motivated, strong work ethic, and detail-oriented with excellent proofreading skills.
  • Ability to maintain a high degree of confidentiality/discretion on a variety of sensitive matters.

Nice To Haves

  • 8+ years of relevant experience at a law firm and/or in-house legal department.
  • Credentialed paralegal certification a plus.
  • Technically savvy and able to learn new software systems and online services platforms efficiently.

Responsibilities

  • Lead and coordinate entity management tasks, including for the formation, maintenance, foreign qualification and dissolution of various types of business entities and maintenance of corporate organizational charts.
  • Manage the Legal Department’s electronic and physical files, including monitoring and implementing document retention policies, safeguarding and organizing documents and files, maintaining the Legal Department file database, arranging for long-term storage for seldom-used files and coordinating destruction for designated files in accordance with the Company’s document retention policy.
  • Coordinate with Legal Department teammates to administer the Company’s outside counsel e-billing system.
  • Support Company responses to third-party subpoenas, including liaising with Human Resources team.
  • Prepare legal documentation in support of the Company's business operations, including incumbency certificates, officer certificates, delegations of authority, appointments, powers of attorney and other statutory filings or documents.
  • Draft corporate documents, Board and Committee agendas, resolutions and minutes, and other general parent and subsidiary level corporate work.
  • Assist with public company Board of Directors and other corporate governance related matters, including creating and posting Board books and other communications via the Company’s online platform.
  • Support ongoing public company compliance obligations, including SEC and NYSE filings and submittals.
  • Provide timely responses to legal requests from other internal functional areas, such as Tax, Treasury and Accounting, for preparation, review, and analysis of legal documents or research of legal or entity issues.
  • Analyze and triage real-time situations, coordinate appropriate responses, attend and participate in corporate affairs and Legal Department meetings.
  • Assist other Legal Department members on matters arising in the course of ongoing business activities.
  • Implement organizational and recordkeeping initiatives as needed to comply with legal requirements and internal policies and develop and implement standard forms as needed.
  • Promote confidentiality and discretion to protect sensitive Company information and data.
  • Other duties as requested, and flexibility to work on special projects and transactions and fill specific needs.
  • In addition to typical in-office 40-hour workweek, in limited instances, availability during off-hours, including evenings or weekends, may be required.
